Client Agreement Terms & Legal Disclosure

Effective Immediately Upon Submission

By submitting this form to Odigos Consulting Firm LLC ("Odigos"), you ("Client") acknowledge and agree that you are entering into a legally binding contract with Odigos for the delivery of business consulting services, enforceable under U.S. contract law including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

This agreement binds you personally and the business entity you represent, effective as of the date of submission.

1. Services Provided

Odigos Consulting Firm LLC delivers services in:

  • Business capital and funding strategy

  • Credit optimization

  • Lender preparation and funding facilitation

  • Commercial advisory and structuring

These services are rendered under a performance-based model where fees apply only upon successful acquisition of funding.

2. Fees and Payment

  • Client agrees to pay Odigos a fee equal to 10% of the total funding acquired with or through Odigos’ advisement, strategy, or involvement.

  • Payment is due within 5 business days of receiving funding, regardless of whether the lender was introduced directly or indirectly by Odigos.

  • This applies to any capital obtained by the Client or business within 60 days of this agreement where Odigos provided guidance, advisement, or lender-facing materials.

3. Binding Scope

  • This agreement is binding upon the individual completing this form and the business they represent, including owners, officers, directors, and any affiliated corporate entities.

  • By submitting this form, you acknowledge full authority to act on behalf of the business, and consent to personal liability if the business defaults on its obligations.

4. Governing Law & Jurisdiction

  • This agreement is governed by and enforceable under the laws of both:

    • The State of Wyoming, where Odigos Consulting Firm LLC is registered, and

    • The state of residence or primary business registration of the Client (individual or entity), including California, Nevada, Florida, Texas, or any other U.S. jurisdiction applicable.

Client consents to jurisdiction in any such state court.

5. Enforcement & Legal Action

Failure to comply with payment terms will result in:

  • Immediate legal action for breach of contract

  • Enforcement against both the individual signatory and the business entity

  • Filing of liens, pursuit of personal judgments, and assignment to national collection counsel

  • Recovery of:

    • Legal fees

    • Court and filing costs

    • Statutory interest

    • Damages due to delay or nonpayment

6. Electronic Signature & Acknowledgment

By submitting this form and checking the acknowledgment box, you:

  • Confirm your full authority to bind yourself and the business listed

  • Acknowledge you have read and accepted the terms herein

  • Understand this submission constitutes a binding legal agreement, enforceable in any court of law, without the need for further signature
